Broad Real Estate and Business Experience

In over thirty years of private practice, I have represented real estate owners, developers and investors and have served as general counsel to many business and individual clients. In addition, my years of working as Vice President for a title insurance company and my experience as President of a division of a publicly held corporation and as an officer and director of several not for profit organizations have provided me with a wealth of invaluable knowledge and experience in business and real estate matters few sole practitioners possess.

In those capacities, I have gained extensive experience in the following areas of law:

Real Estate Transactions, including the purchase, sale, lease and financing of vacant and developed land, for residential, commercial and industrial use; construction contracts, land development, mechanics' liens, easements, licenses, restrictions and title insurance issues and assistance to clients in obtaining building permits in Ohio and in negotiating, drafting and closing transactions throughout the United States.

Business Transactions, including formation of corporations, limited liability companies and partnerships, negotiating and drafting employment agreements, the purchase and sale of businesses, a wide variety of contracts, financing transactions and security agreements and agreements for the transfer of ownership among members in family owned or closely held businesses. I served for over 13 years as Chairman and President of a national industrial supply distributor with over 500 employees and annual sales of over $40 million, so I understand what clients want and need from their lawyer.

Non Profit Organizations, including formation of organizations and charitable foundations, drafting and revising bylaws, serving as trustee and officer and particularly skilled in process review and improvement, team building, and resolving personnel issues.
